1. Introduction
This Statement of Work (SOW) Agreement is entered into by and between the client (“Client”) and Just Better Living (“Agent”), a concierge and service provider. This document outlines the terms and conditions under which the Agent will coordinate or directly provide various services for the Client.
2. Purpose and Objectives
The purpose of this agreement is to define the scope of concierge and direct services provided by the Agent. The Agent will act both as a provider and a coordinator, facilitating access to various third-party services as per the Client’s requests and offering direct services where applicable.
3. Scope of Services
The Agent agrees to coordinate and/or provide the procurement and execution of services including, but not limited to:
- Personal & home services
- Any additional services requested by the Client
The Agent may also accommodate unforeseen additional service requests, and all services will be delivered by the Agent or through third-party providers.
4. Role of the Agent
The Agent serves as both a provider and coordinator of the services listed above, depending on the specific arrangements made with the Client. While the Agent may directly offer certain services, it may also coordinate with third-party vendors (“Suppliers”) to facilitate additional services as requested by the Client. The contractual relationship regarding the provision of services directly offered by the Agent is between the Agent and the Client. For services provided by third-party vendors, the contractual relationship is exclusively between the Client and the Suppliers. The Agent is not liable for any damages, losses, or injuries that may occur from the Client’s use of services arranged through third-party vendors, except as provided by services directly offered by the Agent.
5. Terms of Agreement
This agreement remains in effect indefinitely and covers all services provided. The scope of services may be extended to the Client’s residence or other locations, as requested.
6. Deliverables
The Agent will deliver comprehensive coordination services and/or direct services, according to the Client’s preferences and within the agreed-upon time frame.
7. Schedule
Services will be provided as requested by the Client and coordinated or directly offered by the Agent based on the availability of the required services and third-party vendors.
8. Legal and Compliance
8.1 Indemnification: The Client agrees to indemnify and hold harmless Just Better Living, its employees, agents, and third-party vendors from any claims, damages, losses, liabilities, and expenses arising from or related to any service or equipment provided directly by Just Better Living or through third-party vendors. This indemnification covers all services mentioned in this agreement, regardless of whether they are provided by Just Better Living directly or procured from other service providers.
8.2 Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of California.
8.3 Dispute Resolution: Any disputes arising out of or in connection with this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California.
9. Just Better Living reserves the right to modify the terms of this Statement of Work at any time and without prior notice to the Client. These modifications may reflect changes in the scope of services, operational needs, or compliance with applicable laws and regulations.
